Refund & Cancellation Policy

This policy outlines the equitable terms, milestone deductions, statutory disbursement rules, and GST credit adjustments governing cancellations and refund requests commissioned with VYAPTAX INDIA LLP.

Transparent Commercial Fairness Guarantee

We stand behind our professional advisory and legal preparation. If you cancel before our compliance team has commenced document drafting or verification, you are entitled to a full refund of your professional service fees. Once work has begun or government challans have been generated, refunds are calculated transparently based on actual milestones completed.

Preamble & Commercial Fair-Play Framework

At VYAPTAX INDIA LLP (“VyapTax”), we take pride in delivering meticulous corporate compliance, secretarial advisory, and taxation filings. We recognize that commercial circumstances may occasionally require a client to alter their incorporation strategy, pause compliance submissions, or cancel a service.

This Refund and Cancellation Policy is designed to be transparent, fair, and legally sound. It respects the client’s investment while acknowledging the intellectual time, drafting hours, and out-of-pocket statutory disbursement costs incurred by our empanelled Chartered Accountants, Company Secretaries, and legal practitioners.

Section 02

Strict Segregation of Fees & Statutory Disbursements

Every service quotation on VyapTax comprises two fundamentally distinct financial components:

A. Professional Advisory Fees

Fees charged by VyapTax for document analysis, charter drafting (MOA/AOA/Deeds), form pre-scrutiny, compliance certification, and practitioner advisory. These fees are refundable or convertible subject to the milestone deductions detailed in Section 04.

B. Pass-Through Statutory Challans

Official fees paid directly to sovereign departments (MCA stamp duty, ROC incorporation filing fees, GST portal challans, Trademark Registry statutory filing fees, Class 3 DSC token issuance). Once paid or challans are generated, statutory fees are strictly NON-REFUNDABLE under any circumstances as they have entered the Government Consolidated Fund of India.

Section 03

Pre-Commencement Cancellation & 24-Hour Grace Window

We provide a comprehensive 24-Hour Grace Window for all online service orders:

If you submit a formal cancellation request via email to refunds@vyaptax.com within twenty-four (24) hours of placing your order—and provided our compliance team has not yet commenced document drafting, KYC verification, or name reservation—you will receive a 100% refund of the professional fee paid, less a nominal third-party payment gateway transaction fee of 2.5% charged by the banking aggregator.

Milestone-Based Fee Deductions & Work Done Matrix

Where cancellation is requested after the 24-hour grace window or after operational work has commenced, refunds are computed based on the specific work milestones achieved:

Stage 1: Documentation & KYC Verification Initiated

Documents reviewed, director KYC validated, and preliminary name conflict search completed.

75% Refundable (25% Retained)
Stage 2: Charter Drafting & Statutory Forms Prepared

MOA, AOA, partnership deed, or statutory e-forms drafted, or RUN / SPICe+ Part A name reservation filed.

50% Refundable (50% Retained)
Stage 3: Professional Certification & Portal Upload

Forms certified by CA/CS, DSC affixed, or final packet uploaded to MCA, GSTN, or IP India.

100% Earned (Non-Refundable)
Section 05

Government Rejections, Resubmissions & Objections

Corporate name reservations, trademark registrations, and tax licenses are sovereign determinations made by government statutory officers. You explicitly acknowledge that:

  • MCA Name Resubmission: Rejection of an initial company name preference by the CRC / ROC does not constitute a service defect. VyapTax will file necessary name resubmissions with alternative name choices at zero additional professional fees (subject to government resubmission rules).
  • Trademark Examination Reports: Issuance of Section 9 (distinctiveness) or Section 11 (similarity) examination objections by the Trade Marks Registry does not qualify for a refund. VyapTax assists in drafting and submitting formal legal replies to examination reports.
  • GST Clarification Notices: Departmental queries for physical premises verification (Form REG-03) do not warrant a refund. Our tax desk provides procedural guidance to respond to departmental queries within the prescribed 7-day window.
Section 06

Service Conversion & 365-Day Balance Credit Notes

To maximize client flexibility, VyapTax offers an advantageous Service Conversion Credit alternative:

100% Value Preservation via Service Credit

Instead of opting for a cash refund subject to payment gateway deductions, clients can choose to transfer 100% of their unearned fee balance to a VyapTax Credit Ledger. This credit remains valid for three hundred sixty-five (365) days and can be applied toward any of our other 80+ corporate services, including GST return filing, trademark registration, annual secretarial compliance, or income tax filing.

Section 07

GST Credit Note Issuance & Tax Adjustments (CGST Act)

All commercial transactions and tax invoices generated by VyapTax are subject to the Central Goods and Services Tax Act, 2017 (CGST Act):

In compliance with Section 34 of the CGST Act, 2017, when an approved refund or reduction in professional fees occurs, VyapTax will issue a formal GST Credit Note containing the original invoice reference number, taxable value, and tax rate. The client agrees to reverse any Input Tax Credit (ITC) claimed in their GSTR-3B return in accordance with the credit note details.

Section 08

Bank Chargeback Disputes & Mandatory Conciliation

Initiating an unauthorized bank chargeback or credit card dispute without prior written engagement with our billing team constitutes a material breach of our Terms of Service:

Before raising any dispute with your card-issuing bank or payment aggregator, you agree to engage in a mandatory 15-day good-faith conciliation period by emailing refunds@vyaptax.com. If a fraudulent chargeback is filed for services already rendered, VyapTax reserves the right to report the transaction under applicable banking guidelines and initiate recovery proceedings.

Approved refunds are processed through banking settlement channels according to standard financial timelines:
